Agency and white label terms

1. Who we are

This programme is run by Nuevo Automations FZE LLC, licensed by the Sharjah Publishing City Free Zone Authority under licence no. 4431808.01, of Business Centre, Sharjah Publishing City Free Zone, Sharjah, United Arab Emirates (“we”, “us”). OrcaFlo is its product.

2. The two tracks

Agency partner: your clients use OrcaFlo with OrcaFlo branding. There is no subscription. You pay 1¢ per message for your clients' messages.

White-label agency: you offer OrcaFlo under your own brand and pay a monthly agency subscription (from $50 to $500 a month depending on the tier) plus 1¢ per message for your clients' messages.

You sign up on orcaflo-panel.com/agencies: you choose a track, add your card and your agency account opens at once. We may suspend an account that breaks these terms. We move an agency between tracks only with its agreement.

3. Which businesses are your clients

A business you create from your agency console is your client. It stays your client until you or it ask us to end that.

4. What you pay for messages

You pay 1¢ (US$0.01) for every billable message of every client business: messages the client's assistant receives and sends on any channel. Messages the business owner types on their own phone and OrcaFlo's own system lines are free.

We bill you once a week, for all your clients together, in dirhams at 3.6725 to the dollar, plus the payment processing fee, to the card you save in your agency console. You need a saved card before you add clients.

If a weekly charge fails we email you and retry; if it is still unpaid 24 hours later, your clients' assistants pause until the invoice is paid, and then switch back on by themselves.

There is no revenue share and no payout: your margin is the difference between what you charge your clients and what you pay us.

5. White-label agency subscription

The white-label tiers, their prices and what each includes are published on orcaflo-panel.com/agencies. The subscription is billed monthly in advance, in dirhams at the published US dollar price converted at 3.6725, plus the payment processing fee, until you cancel by emailing us; cancelling stops the next renewal.

6. Who your clients pay

Your clients pay you, not OrcaFlo. You set their prices and bill them yourself: through your own Stripe account connected in the agency console (SaaS mode), where you are the seller and Stripe's own terms apply between you and Stripe, or with your own invoices. You are responsible for your clients' billing, taxes and refunds.

We never charge your clients, and they have no OrcaFlo plan of their own while they are your clients.

7. White label

White-label agencies can set their agency's name, logo, colours, sender name, support email and their own panel address. You must own or control that address and the logo, and you are responsible for supporting your clients under your brand.

We remove the OrcaFlo name from what your clients see in the panel, sign-in page, emails, notifications, website chat, in-panel guides and the connect screens we control. One thing stays outside our control: Meta's WhatsApp and Instagram connect window shows the name of OrcaFlo's Meta app.

Your clients' data stays under our Privacy Policy. You may only access the client businesses that are yours, and only to serve those clients.

8. Your team

You are responsible for the staff you invite to your agency console and for what they do in your clients' panels. Remove a person as soon as they leave.

9. Rules and closing an account

You may not refer yourself, your own business or a business you own, run or are paid by; use paid ads, search ads or domains on the OrcaFlo name or its misspellings; send spam or unsolicited messages; or say anything about OrcaFlo that isn't true (including prices or results we haven't published).

We may suspend or close an agency account at any time for a breach of these rules or for fraud.

10. Changes and law

We may change these terms, including the shares, with 30 days' notice by email. Earnings on payments made before a change keep the terms they were earned under.
